My practice focuses on capital markets and mergers and acquisitions (M&A). I advise on initial public offerings (IPO) and secondary capital raisings on the Hong Kong Stock Exchange, offerings of debt securities, regulatory and compliance issues and Hong Kong securities laws and regulations. I also advise on cross-border M&A transactions, for both public and private clients.

Capital Markets

  • Alliance Capital Partners Limited: Advised Alliance Capital Partners Limited as the Hong Kong legal advisers of the sponsor in the HK$130 million initial public offering of Contel Technology Company Limited (01912) on the Main Board of HKSE. Contel engages in sourcing and sale of IC products and the provision of IC application solutions and value-added services.
  • Dongxing Securities (Hong Kong) Company Limited: Advised Dongxing Securities (Hong Kong) Company Limited as the Hong Kong legal advisers of the sponsor in the HK$92 million initial public offering of TasteGourmet Group Limited (08371) on the GEM of HKSE. Taste‧Gourmet is a Hong Kong based restaurant group.
  • Greenland Hong Kong Holdings Limited (formerly known as SPG Land (Holdings) Limited) (00337):
    • the US$176.6 million initial public offering and listing on the Main Board of the HKSE;
    • the issuance of US$150 million Zero Coupon Convertible Bonds offering. The Bonds are listed on the Singapore Stock Exchange;
    • the issue of and subsequent consent solicitation from holders of its US$200 million, 13.5% Senior Notes due 2016 and its related asset sales and investment restructuring.
  • Hopson Development Holdings Ltd (00754):
    • the issuance of up to RMB15 billion corporate bonds. The bonds are listed on Shanghai Stock Exchange;
    • the issue of US$300 million, 9.875% Senior Notes due 2018. The Notes are listed on the Singapore Stock Exchange;
    • the issue of US$300 million, 11.75% Senior Notes due 2016. The Notes are listed on the Singapore Stock Exchange.
  • A Hong Kong-listed property developer in China: Advised on the issue of a number of asset-backed securitisation notes by its wholly-owned subsidiaries, which are listed on the Shanghai Stock Exchange or the Shenzhen Stock Exchange.

Mergers & Acquisitions

  • Hopson Development Holdings Limited (00754): Advised on an acquisition by its wholly-owned subsidiary of the entire issued share capital in a BVI company (together with the corresponding shareholder’s loan) which owns the 49th Floor of The Center, No. 99, Queen’s Road Central, for a consideration of HK$1.118 billion.
  • KuangChi Science Limited (00439): Advised KuangChi Science Limited on its up to A$85.7 million (equivalent to approximately HK$544 million) subscription and acquisition of shares in Martin Aircraft Company Limited which is a New Zealand Corporation engaged in the research and developments of jetpacks for commercial and recreational use. In parallel with KuangChi Science’s investment, Martin Aircraft Company Limited was conducting an initial public offering through the Australian Stock Exchange. Upon completion of the entire investment by KuangChi Science, it will hold approximately 52% of the enlarged issued share capital of Martin Aircraft Company Limited. This deal was awarded as “Deal of the Year 2015” by China Business Law & Journal.
