My practice focuses on equity offerings on The Stock Exchange of Hong Kong Limited (HKSE) and advising listed companies on securities law, corporate finance matters, and regulatory compliance. I advise on mergers and acquisitions and general corporate and commercial matters. I have acted for numerous issuers and sponsors in relation to initial public offerings and listings on HKSE.  I oversee the corporate services team in our Hong Kong Office.

I have broad experience in capital markets and M&A transactions. I am regarded as hands-on, responsive and detail-oriented, with a strong practical commercial sense. My clients rely on me to provide technically sound and commercially astute legal advice with a quick turnaround time.  I have been ranked as a “Recognised Practitioner in Capital Markets: Equity” by Chambers Asia Pacific and a “Recommended lawyer in Capital Markets: Equity” by the Legal 500 Asia Pacific

Represented Hong Kong listed companies in a large variety of transactions including:

  • Capxon International Electronic Company Limited on its privatisation matters.
  • Century Investment (Holding) Limited in relation to the issue of 5% secured exchangeable bond in the aggregate principal amount of up to HK$198,000,000 (Exchangeable Bond).
  • Fortunet E-Commerce Group Limited on:
    • its grant of a loan facility to connected subsidiary for developing its digital point business;
    • its issuance of unlisted warrants to its controlling shareholder;
    • its issuance of convertible bonds to a special purpose vehicle operated by CCB International (Holding) Limited;
    • its placings of new shares under general mandate.
  • Fortunet E-commerce Group Limited and its subsidiaries on the formation of a series of JV companies with the subsidiaries of CCB International, China UnionPay, China Mobile and Bank of China for the establishment and operations of an electronic consumption point-reward system and platform in China.
